The 9-month donation clause, in plain words

If no grant, contract, or restricted gift covering this project is awarded to you within nine months of delivery, the outstanding $40,000 converts to an in-kind donation from The Mullings Group. The balance is forgiven in full.

The fine print, up front

What counts as "funded"?

Any grant, government contract, restricted gift, or sponsorship of $40,000 or more awarded to you within nine months of delivery, where the funded work includes this software. The $40,000 is invoiced 5 days after the funds are released to you - not on award notice. Partial awards are pro-rated: you pay the lesser of the balance or the technology line in the award, and the remainder converts to a donation.

The 9-month donation clause

If no qualifying funding is awarded within nine months of delivery, the outstanding balance converts to an in-kind donation from The Mullings Group and is forgiven in full. No interest, no fees, no debt instrument, no personal or board guarantee. We provide written documentation of the in-kind contribution for your records; how you record it is a matter for your finance team and auditor.

Who owns the software?

You do, from delivery - funded or not. Full IP assignment covering the repository and commit history, CI/CD pipelines, infrastructure-as-code, database, environment configuration, source design files, and API documentation. No licence, no royalty, no revenue share. If you ever want to leave our hosting, we help you migrate at no charge.

Exactly what hosting covers

For the first 9 months: application and database hosting on managed cloud infrastructure, SSL certificates, nightly encrypted backups with 30-day retention, uptime and error monitoring, and a staging environment. We pay a maximum $150 per month in hosting cost. Billed separately at cost: third-party API and vendor fees (payments, SMS, email, mapping, AI usage), app-store fees, and paid design assets.

Cancellation terms

Before discovery and scoping, cancel for any reason. Once the build starts, the two-week sprint runs to completion - but the delivery guarantee stands: no working MVP in 10 business days means the rest of the project is free. There is nothing to cancel after delivery; the balance is either funded or forgiven.
